The Company provides a platform designed to facilitate access to loan funding for nonprofit organizations, including invoice financing or advances based on expected receivables such as grants or client payments. The Company does not guarantee that any user will receive funding. All funding decisions are made in the Company's sole discretion based on the information provided and any additional information obtained through verification processes. The Company is not a bank or financial advisor, nor does it act as a fiduciary, agent, or representative of any user, and does not provide legal, financial, or tax advice.

Changes to the Terms of Service

We may revise and update these Terms of Service from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Services thereafter. Your continued use of the Services following the posting of revised Terms of Service means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.

Accessing the Services and Account Security

We reserve the right to withdraw or amend the Services in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Services are unavailable at any time or for any period. Eligibility and Information Requirements

To use certain features of the Services, you may be required to submit information and documentation, including but not limited to nonprofit verification materials, such as IRS determination letters or tax-exempt certificates, documentation of grants, invoices, or expected receivables, and descriptions of how requested funds will be used. You represent and warrant that all information and documentation you provide is accurate, complete, and current. The Company may rely on such information in evaluating eligibility for funding and providing Services. The Company reserves the right to request additional information or documentation at any time in connection with your use of the Services or any funding request.

Submission of information or documentation through the Services does not guarantee approval for funding. The Company reserves the right to approve or deny any request in its sole discretion.

Funding Terms and Fees

In the event you are approved for funding through the Services, you agree to the specific terms presented to you at the time of funding, which may include a one-time fee associated with the funding provided. The Company may provide funding based on expected receivables, such as grants or client payments. You acknowledge that you remain solely responsible for repayment of any funds provided to you, regardless of whether any expected receivables, grants, or client payments are ultimately received, unless otherwise expressly agreed in writing. All fees and terms will be disclosed to you prior to acceptance of any funding arrangement. The Company reserves the right to modify or withdraw any funding offer at any time prior to acceptance.

Repayment Terms

Repayment terms will be provided at the time of funding. In general, repayment may be structured without required monthly payments; however, if repayment has not occurred within a specific period provided by the Company (e.g., 6 months), the Company may require repayment through an installment plan or other agreed-upon method. You agree to comply with all repayment obligations associated with any funding received through the Services. The Company reserves the right, but not the obligation, to pursue collection of any amounts owed through any lawful means.

Intellectual Property Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by the Company, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These Terms of Service permit you to use the Services for your personal, non-commercial use only and you must not access or use for any commercial purposes any part of the Services. Any copying, redistribution, use or publication by you of any such content or any part of the Services is prohibited, except as expressly permitted by these Terms of Service. Under no circumstances will you acquire any ownership rights or other interest in any content by or through your use of the Services. If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Services in breach of the Terms of Service, your right to use the Services will stop immediately and you must, at our option, return or destroy any copies of the materials you have made. No right, title, or interest in or to the Services is transferred to you, and all rights not expressly granted are reserved by the Company. Any use of the Services not expressly permitted by these Terms of Service is a breach of these Terms of Service and may violate copyright, trademark, and other laws.

YOUR USE OF THE SERVICES, THE CONTENT, AND ANY INFORMATION OR ITEMS OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, ITS CONTENT, AND ANY INFORMATION OR ITEMS OBTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. Indemnification

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Services shall be instituted exclusively in the federal courts of the United States or the courts of the State Jurisdiction. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Waiver and Severability

No waiver by the Company of any term or condition set out in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Company to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

If any provision of these Terms of Service is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Service will continue in full force and effect.

Entire Agreement

The Terms of Service and our Privacy Policy constitute the sole and entire agreement between you and the Company regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
